1. Acceptance of Terms

By accessing or using the website at engagerx.io or any service provided by EngageRx ApS ("EngageRx", "we", "our", "us"), you accept and agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services. Use of the EngageRx product itself is additionally governed by the separate written agreement signed between EngageRx and the customer organisation.

2. Description of Services

EngageRx provides conversation-intelligence and insight-management software for the pharmaceutical industry - including field assistant tools, HQ insight platforms and related services designed to help pharmaceutical organisations capture, structure and act on field conversations.

Scope limitation - not a regulated system. The Services are not a pharmacovigilance, medical-information, regulatory-submission, clinical, diagnostic or treatment-decision system, and are not intended to be used as one. Customers remain solely responsible for routing any adverse event, product complaint, off-label enquiry, medical-information question or other safety/medical/legal signal detected in or pasted into the Services to their own qualified internal systems and personnel, in line with their SOPs and applicable regulation. EngageRx does not perform safety triage, regulatory reporting or medical-information handling on the customer's behalf.

3. Website Use and Communications

When you submit a form on engagerx.io (e.g. "Book a demo" or "Get in touch"), you agree to provide accurate information and to honour any meeting you schedule with us or provide reasonable notice of cancellation. We will use the information you submit only to respond to your enquiry, as described in our Privacy Policy.

4. Acceptable Use

When using our website you agree not to:

• Violate any applicable law or regulation
• Infringe the intellectual property or other rights of any third party
• Upload or transmit viruses, malware or other harmful code
• Attempt to gain unauthorised access to our systems or networks
• Interfere with or disrupt the integrity or performance of the website
• Use the website for any unlawful or fraudulent purpose
• Harvest personal data of other users without consent
• Impersonate any person or misrepresent your affiliation
• Submit through any form on this website any patient-identifiable information, adverse-event reports, product complaints, or other regulated medical information

5. Intellectual Property Rights

All content, features and functionality of our website and Services - including text, graphics, logos, icons, images, audio, data compilations and software - are the exclusive property of EngageRx ApS or its licensors and are protected by international copyright, trademark, patent, trade-secret and other intellectual-property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and view our website for your internal business evaluation purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, scrape, train AI models on, or otherwise exploit our website without our prior written consent.

6. Data and Privacy

Your interaction with engagerx.io is governed by our Privacy Policy, which describes the personal data we collect, the legal basis for processing, our sub-processors (Lovable Cloud and Plausible Analytics, both EU-hosted), data retention periods and your GDPR rights.

Where the EngageRx product itself processes customer data on behalf of a customer organisation, that processing is governed by the data processing agreement (DPA) signed between EngageRx and the customer - not by these website terms.

7. Fees

The engagerx.io website and the demo process are provided free of charge. Fees for the EngageRx product are set out in the separate written commercial agreement signed with each customer. Where fees apply, they are payable in accordance with that agreement; all fees are non-refundable unless that agreement provides otherwise.

8. Service Availability and Modifications

We aim to keep our website reliably available but do not guarantee uninterrupted, timely, secure or error-free operation. We may modify, suspend or discontinue any part of the website at any time, with or without notice.

9. Disclaimer of Warranties

To the maximum extent permitted by law, the website is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of content.

10. Limitation of Liability

To the maximum extent permitted by Danish law, EngageRx ApS shall not be liable for any indirect, incidental, special, consequential or punitive damages - including loss of profits, data, use, goodwill or other intangible losses - arising out of or related to:

• Your access to or use of (or inability to access or use) our website
• Any conduct or content of any third party in connection with our website
• Any content obtained from our website
• Unauthorised access to or alteration of your transmissions or content

Where the EngageRx product itself causes loss, liability is governed exclusively by the limitations of liability set out in the customer agreement. Nothing in these Terms excludes liability that cannot be excluded under Danish law (including liability for gross negligence, wilful misconduct, personal injury or death).

11. Indemnification

You agree to indemnify, defend and hold harmless EngageRx ApS, its affiliates, officers, directors, employees and agents from and against any claims, liabilities, damages, losses and reasonable costs (including reasonable legal fees) arising out of or related to your breach of these Terms or your unlawful use of our website.

12. Termination

We may suspend or terminate your access to our website at any time, without notice, if you breach these Terms or use the website in a way that, in our reasonable judgment, creates risk for us or other users. Sections that by their nature should survive termination (intellectual property, disclaimers, indemnity, limitations of liability, governing law) will survive.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of Denmark, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Copenhagen, Denmark, save that EngageRx may also bring proceedings to protect its intellectual-property rights in any court of competent jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent change. Material changes will be flagged on this page; continued use of the website after a change constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be replaced with a valid provision that most closely reflects the original intent.

16. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and EngageRx ApS regarding your use of engagerx.io. They do not replace any separate written commercial or data-processing agreement signed between EngageRx and a customer organisation, which prevails over these Terms in case of conflict in respect of the EngageRx product.
